Specific Arrangements for CEPA

• Hong Kong and Macau service suppliers are permitted to establish wholly-owned enterprises and joint ventures to provide software implementation services and data processing service in the Mainland
• Hong Kong and Macau service suppliers are permitted to apply for qualification certification according to related regulations in the Mainland

Required Documents

• Application for incorporation
• Feasibility study report
• Bank reference letters, certificate of registration, certificates of legal representative, contracts signed by investors and articles of association (only articles of association is required for wholly-owned enterprises)
• Register of members of the board, and letters of appointment of directors of the joint ventures
• Enterprise Name Approval in Advance Notice
• Certificates for registered place and occupancy of business ground
• Certificates of service suppliers
• Assets evaluation report under the circumstance that the state-owned assets to be invested by the Chinese partner

Requirements on Applying for Qualification Certification in the Mainland

• No assessment on the qualification for the position is required
• Achievements may cover the projects both in the Mainland and Hong Kong
• Enterprises applying for the third grade qualification certification shall have at least 40 people engaging in software development and system integration
• For enterprises applying for qualification certification of first to third grades, their quality management system shall only pass the certification granted by a third party certification authority
• Application for the qualification certification of third to fourth grades can be made to Hong Kong Productivity Council

Qualification Declaration and Procedures for Approval

• Stage of Preparation
  • Prepare application documents and file an application
  • Examine authority assessment of the enterprises which meet the required criteria and issue assessment report
  • Submit declaration form, assessment report, and certificates of service suppliers
• Stage of Declaration and Approval
  • Submit declaration form, assessment report, recommendations issued by the Special Administration Region government, and certificates of service suppliers
  • Examine the materials submitted
  • Process experts' review and approval
  • Upon passing the examination and obtaining approval, the applicant will be conferred with qualification of corresponding grade and certificate
